This End User License Agreement ("EULA") is a legal agreement between you ("User") and Nudg AI LLC ("Company") governing your use of the CoverBase web application and related services ("Software"). By accessing or using the Software, you agree to be bound by this EULA.
Subject to the terms of this EULA, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software through a web browser for your internal business purposes during the term of your active subscription.
You may not:
The Software is licensed, not sold. The Company retains all right, title, and interest in and to the Software, including all intellectual property rights. You retain ownership of all data you upload to the Software ("Your Data"). The Company claims no ownership over Your Data.
Access to the Software requires an active paid subscription. Free trials are provided for evaluation purposes and require a valid payment method. Unless cancelled before the trial period ends, your subscription will automatically convert to a paid plan. Subscription fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law.
The Company implements industry-standard security measures to protect Your Data, including encryption in transit and at rest, row-level security policies, and regular backups. However, no method of electronic storage is 100% secure. The Company is not liable for unauthorized access resulting from your failure to maintain account security.
The Software facilitates electronic acknowledgment of policies through typed-name signatures. These are recorded with IP address, timestamp, and signature data for audit purposes. The Company does not guarantee that electronic signatures collected through the Software will be legally binding in all jurisdictions. Users should consult legal counsel for jurisdiction-specific requirements.
The Company will make commercially reasonable efforts to maintain Software availability. Scheduled maintenance will be communicated in advance when possible. Support is available via email at support@coverbase.net. The Company does not guarantee specific response times unless covered by a service level agreement under the Business plan.
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SOFTWARE. THE COMPANY'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
This EULA is effective until terminated. The Company may terminate this EULA immediately if you breach any of its terms. Upon termination, your right to use the Software ceases. You may terminate by cancelling your subscription and deleting your account. Your Data will be permanently deleted within 30 days of account deletion.
This EULA shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of the State of Florida.
The Company may update this EULA from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Software after changes constitutes acceptance of the updated EULA.
